These Terms of Service ("Terms") govern your access to and use of the QartBite platform, including our website at qartbite.com, mobile application, and all related services (collectively, the "Services") operated by QartBite Inc. ("QartBite," "we," "us," or "our").

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you confirm that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

QartBite is an AI-powered food vendor intelligence platform that:

• Aggregates and analyzes publicly available food vendor reviews using artificial intelligence
• Generates safety ratings, quality scores, and operational metrics across 23 structured dimensions
• Provides search, discovery, and exploration tools for consumers seeking food vendors
• Offers vendor profiles, scorecards, and curated lists for informed dining decisions
• Enables food vendors to claim, manage, and enhance their profiles through paid subscriptions

3. User Accounts

a) Account Creation: Some features require an account. You may sign up using Google OAuth or email. You agree to provide accurate, current information and keep your credentials secure.

b) Account Security: You are responsible for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

c) Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion, with or without notice.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable local, national, or international law or regulation
• Submit fake, misleading, or fraudulent reviews or vendor information
• Scrape, crawl, or harvest data from QartBite using automated tools without express written permission
• Attempt to reverse-engineer, decompile, or access the source code of our AI models or scoring algorithms
• Interfere with or disrupt the Services, servers, or networks connected to QartBite
• Impersonate any person or entity, or misrepresent your affiliation with a food vendor
• Use the Services for any purpose that is harmful, abusive, harassing, or discriminatory
• Circumvent rate limits, authentication mechanisms, or security features

5. AI-Generated Content & Scores

QartBite uses artificial intelligence to analyze publicly available reviews and generate vendor scores. You acknowledge and agree that:

• Scores Are Automated: All 23-metric safety and quality scores are generated algorithmically by AI. They are not verified by human inspectors or food safety authorities.
• Not Health Certifications: QartBite scores are informational aids, not health certifications, safety guarantees, or official food safety ratings. They should not replace personal judgment or official food safety inspections.
• Data Limitations: Scores are derived from publicly available reviews, which may be incomplete, biased, or outdated. Vendors with few reviews may have less reliable scores.
• AI Errors: AI systems can make mistakes. Scores may not perfectly reflect actual vendor conditions. We continuously improve our models but cannot guarantee accuracy.
• Fraud Detection: Our fraud detection system identifies and adjusts for suspicious reviews, but no system is perfect. Some fraudulent reviews may affect scores.

6. Vendor Subscriptions & Payments

a) Subscription Tiers: Vendors may subscribe to paid tiers (Basic, Pro, or Premium) to access enhanced profile features, analytics, and promotional tools.

b) Billing:Subscriptions are billed monthly through Paddle, our payment processor. By subscribing, you agree to Paddle's terms of service.

c) Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period. No prorated refunds are provided for partial months.

d) Price Changes:We reserve the right to adjust subscription pricing with 30 days' advance notice. Continued use after the effective date constitutes acceptance of new pricing.

e) Score Independence: Vendor subscriptions provide profile management tools and visibility features. Paid subscriptions do not influence vendor safety or quality scores in any way. Scores are entirely algorithm-driven and independent of payment status.

7. Intellectual Property

a) Our Content: The QartBite platform, including its AI models, scoring algorithms, design, branding, text, graphics, and software, is the proprietary property of QartBite Inc. and is protected by intellectual property laws.

b) License to Use: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

c) User Content: If you submit content (e.g., vendor profile updates, photos, or communications), you grant QartBite a worldwide, royalty-free, non-exclusive license to use, display, and distribute that content in connection with the Services.

d) Restrictions: You may not copy, modify, distribute, sell, or create derivative works based on our Services or content without prior written consent.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, error-free, or secure
• Vendor scores, ratings, or analyses will be accurate, complete, or current
• Any food vendor meets any particular safety, quality, or hygiene standard based on its QartBite score
• The Services will meet your specific requirements or expectations

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QARTBITE INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, use, goodwill, or other intangible losses
• Any foodborne illness, allergic reaction, or health issue resulting from dining at vendors listed on QartBite
• Reliance on AI-generated scores, ratings, or recommendations
• Unauthorized access to or alteration of your data
• Any third-party conduct or content on the Services

Our total liability for any claims arising from or relating to the Services shall not exceed the amount you paid to QartBite in the 12 months preceding the claim, or $50 USD, whichever is greater.

10. Termination

You may stop using the Services at any time. We may terminate or suspend your access to the Services at our discretion, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, disclaimers, limitation of liability, and dispute resolution.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice through the Services or via email to your registered address. Your continued use of QartBite after the effective date of any changes constitutes your acceptance of the updated Terms.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through good-faith negotiation first, followed by binding arbitration in Ho Chi Minh City, Vietnam, if necessary.
